Welcome to DanceGrid, operated by Foxtrot Dynamics, LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the DanceGrid mobile application, website, and related services (collectively, the "Service").

By accessing or using DanceGrid, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using DanceGrid, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. These Terms constitute a legally binding agreement between you and Foxtrot Dynamics, LLC.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" will refer to both you and the organization.

2. Eligibility

You must be at least 13 years old to use DanceGrid. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.

You must be legally capable of entering into binding contracts in your jurisdiction. If you do not meet these requirements, you may not use the Service.

3. Accounts and Responsibilities

3.1 Account Creation

To use certain features of DanceGrid, you must create an account. You may register using an email address and password, or through third-party authentication providers (Google, Apple). You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password
• Not share your account credentials with others
• Immediately notify us of any unauthorized access or use of your account
• Log out of your account when using shared devices

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may delete your account at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

4. User-Generated Content and Licenses

4.1 Your Content

You retain ownership of content you submit to DanceGrid, including venue listings, event information, reviews, ratings, comments, and other user-generated content ("Your Content"). However, by submitting Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, and display Your Content on the Service
• Distribute and promote Your Content through the Service
• Create derivative works from Your Content for the purpose of operating and improving the Service

4.2 Content Standards

You are solely responsible for Your Content. You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not infringe any third-party rights (copyright, trademark, privacy, publicity, or other)
• Your Content is accurate and not misleading
• Your Content complies with all applicable laws and regulations
• Your Content does not contain harmful, offensive, or illegal material

4.3 Content Moderation

We reserve the right, but not the obligation, to review, edit, remove, or refuse to display any content that violates these Terms or that we determine, in our sole discretion, is inappropriate, harmful, or objectionable. We may remove content or suspend accounts, with or without notice, as appropriate.

5. Verification Disclaimers

DanceGrid is an informational platform only. We provide a platform for users to discover and share information about dance venues, events, instructors, and organizations. We do not:

• Endorse, guarantee, or verify the accuracy of user-submitted information
• Guarantee the quality, safety, or availability of any venue, event, or instructor
• Verify the credentials, qualifications, or background of instructors or organizations
• Guarantee that venues or events will be open, available, or operating as described
• Assume responsibility for the conduct of venues, instructors, or event organizers

Verification badges, ratings, and other indicators on the Service are provided for informational purposes only and do not constitute endorsements, guarantees, or warranties of any kind.

You use the Service and attend venues or events at your own risk. We are not responsible for any injuries, damages, or losses that may occur in connection with your use of information from the Service or your attendance at any venue or event.

Information provided through the Service is for general informational purposes only and does not constitute professional, legal, medical, or safety advice.

6. Acceptable Use

You agree to use DanceGrid only for lawful purposes and in accordance with these Terms. You may use the Service to:

• Discover and explore dance venues, events, and instructors
• Share accurate information about dance-related businesses and events
• Post reviews, ratings, and comments in good faith
• Connect with other members of the dance community
• Access premium features if you have an active subscription

7. Prohibited Conduct

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation
• Harass, threaten, abuse, or harm other users
• Post spam, unsolicited commercial messages, or repetitive content
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service for any commercial purpose without our written consent (except as expressly permitted through features intended for business owners, venues, instructors, or event organizers)
• Collect or harvest user information without consent
• Post content that is defamatory, obscene, hateful, or discriminatory

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Payments, Subscriptions, and Refunds

8.1 Paid Services

Some features of DanceGrid may require payment, including premium subscriptions. By purchasing a subscription or other paid service, you agree to pay the specified fees and any applicable taxes.

8.2 Subscription Terms

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

8.3 Payment Processing

Payments are processed by third-party payment processors (Stripe, PayPal). You agree to provide accurate payment information and authorize us to charge your payment method for all fees. You are responsible for any fees charged by your payment provider.

8.4 Refunds

Refunds are issued at our discretion and are generally limited to billing errors, technical issues, or first-time purchases requested within a limited period. Renewals are non-refundable.

The Service, including its design, features, functionality, and content (excluding Your Content), is owned by Foxtrot Dynamics, LLC and protected by copyright, trademark, and other intellectual property laws.

The "DanceGrid" name, logo, and related marks are trademarks of Foxtrot Dynamics, LLC. You may not use our trademarks without our prior written consent.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. You may not remove or alter any copyright, trademark, or other proprietary notices.

10. Third-Party Services

DanceGrid may integrate with or link to third-party services, including:

• Authentication providers (Google, Apple)
• Payment processors (Stripe, PayPal)
• Mapping services (Mapbox, MapLibre)
• Email delivery services
• Analytics providers

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

11. Disclaimers and Limitation of Liability

11.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantees

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service will meet your requirements
• Information on the Service is accurate, complete, or current

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXTROT DYNAMICS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foxtrot Dynamics, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your attendance at or participation in any venue or event listed on the Service

13. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

You may terminate your account at any time by deleting your account through your account settings or by contacting us.

Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) will survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved in the state and federal courts located in Illinois, and you consent to the exclusive jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Effective Date"
• Sending an email notification to registered users (for significant changes)
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foxtrot Dynamics, LLC regarding your use of the Service and supersede all prior agreements and understandings.
